In 1995, Andy began as a commercial litigation associate in the Houston office of what is now Locke Lord, LLP. After a few years, Andy moved to a traditional corporate practice, focusing on mergers and acquisitions. In 2002, Andy was admitted as an equity partner, primarily representing publicly held and privately owned companies and individuals in mergers, acquisitions and divestitures; venture capital and private equity transactions; joint ventures, and other traditional corporate matters. Andy also represented clients in private placements and general securities matters, entity formation and structuring, drafting and negotiating commercial contracts, co-ownership agreements, compliance matters and corporate governance, including advising boards of directors.
In 2008, Andy was recruited to the Business Development and Law Departments of Cooper Industries, Ltd. – one of Houston’s oldest companies. Established in 1833, Cooper Industries was a $5 billion company with operations, facilities and employees around the world. Over the next five years, Andy worked with Cooper’s CEO and executive team (including the executive leadership of Cooper’s seven business divisions), with responsibilities for legal, business development, and certain commercial and compliance matters. In his four years at Cooper, Andy was responsible for closing almost 40 acquisitions and several divestitures around the world, with acquired targets ranging in size up to $500 million in revenues. Andy also served as a managing director at Cooper, with responsibility for the development and implementation of Cooper’s business development program. Notably, Andy worked on the divestiture of Cooper’s tools business, resulting in a $1 billion joint venture (Apex Tools Group) with Danaher Corporation, the subsequent sale of Apex to Bain Capital for approximately $1.6 billion, and the sale of Cooper Industries to Eaton Corporation in 2012 for approximately $12 billion.
Andy has represented clients in diverse industries, including manufacturing, professional services, oil & gas, logistics and transportation, metal cutting, food & beverage, entertainment, home décor, information technology, educational services, health care services, oil field services, software development, online gaming and related products, financial products and services, banking, real estate, engineering services, utilities, electrical services, correctional services, drug testing, waste management, proprietary trading, recycling, and more.
