Andy Mouer


Andy Mouer started The Mouer Law Firm in March 2013, building upon nearly 20 years of experience gained as a corporate partner at one of the nation’s premier law firms and as a senior executive at a Fortune 300 company.

Andy started his legal career in 1995 in the Houston office of what is now Locke Lord, LLP, one of the largest law firms in America. Andy began as an associate in the commercial litigation practice group before focusing on a traditional corporate and transactional practice. He became an equity partner in the Corporate / M&A group in 2002, and primarily represented publicly held and privately owned companies as well as individuals in mergers, acquisitions and divestitures, venture capital and private equity transactions, joint ventures, and other traditional corporate matters. Andy also represented clients in private placements and general securities matters, entity formation and structuring, drafting and negotiating commercial contracts, compliance matters and corporate governance, including advising boards of directors.

In 2008, Andy was recruited to the Business Development and Law Departments of Cooper Industries, Ltd. – one of Houston’s oldest companies. Established in 1833, Cooper Industries was a $5 billion company headquartered in Houston, with operations, facilities and employees around the world. Over the next five years, Andy worked closely with Cooper Industries’ CEO and executive team (including the presidents and executive teams of Cooper Industries’ seven business divisions). Andy’s responsibilities included legal, business development (BD), and certain commercial and compliance matters. While at Cooper Industries, Andy was lead in-house counsel in closing almost 40 acquisitions and several divestitures around the world, with acquired targets ranging in size up to $500 million in revenues. Andy also served as a managing director at Cooper Industries, and in that role had significant responsibility for the development and implementation of Cooper Industries’ BD program. Among other transactions, Andy worked on the divestiture of Cooper’s tools business, resulting in a $1 billion joint venture (Apex Tools Group) with Danaher Corporation, the subsequent sale of Apex to Bain Capital for approximately $1.6 billion, and ultimately, the sale of Cooper Industries to Eaton Corporation for approximately $12 billion.

During his career, Andy has represented clients in diverse industries, including: manufacturing, professional services, oil & gas, food & beverage, entertainment, home décor, information technology, educational services, health care services, oil field services, software development, online gaming and other game products, financial products and services, banking, real estate, engineering services, utilities, electrical services, correctional services, drug testing, waste management, proprietary trading, and more.
